AcidType™ Standard EULA

This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (“Licensee”, “you”) and AcidType (“AcidType”, “we”, “us”, “our”) governing the use of AcidType font software (“Font Software”).

By downloading, installing, accessing, or using the Font Software, you agree to be bound by the terms of this Agreement. If you do not agree, you must not use the Font Software.

1. Font Software

“Font Software” refers to the digital font files, installers, specimen files, metadata, licence files and any associated files produced by AcidType™.

This includes any updates, patches or replacements provided by AcidType™ or its authorised distributors, regardless of file format.

2. Licence Grant

Subject to your compliance with this End User License Agreement (“EULA”) and the terms of the third-party store or distributor from which you purchased the Font Software, AcidType™ grants you a non-exclusive, non-transferable, revocable licence to use the Font Software in accordance with the specific licence purchased.

The precise scope of rights (for example: desktop, webfont, app embedding, server/SaaS, broadcast, merchandise, logo, or extended enterprise rights) is determined by the licence purchased through the third-party store.

Seat counts, user limits and other quantitative restrictions are governed solely by the applicable third-party licence and not by this general EULA.

3. Permitted Uses

Unless your purchased licence states otherwise, you may install, use and modify the Font Software for your internal business or personal purposes.

Examples include designing documents, images, logos, websites or applications, strictly in accordance with the licence terms supplied by the third-party from which you purchased the Font Software.

Internal modifications for the sole purpose of integrating the Font Software into permitted works (such as subsetting or format conversion) are allowed only to the extent necessary for those permitted uses.

4. Prohibited Uses

Unless expressly authorised by the licence purchased from the third-party distributor, you may not:

(a) redistribute, sublicense, sell, rent, lease, lend, share or otherwise make available the Font Software (in whole or in part) to any third party;

(b) embed the Font Software in any product intended for redistribution unless that licence explicitly permits redistribution;

(c) create derivative font products for sale or distribution;

(d) remove, alter or obscure any copyright, trademark or other proprietary notices contained in the Font Software or its related materials;

(e) use the Font Software to train, validate, fine-tune or improve machine-learning or artificial-intelligence models, including text, image or multimodal systems.

Any use of the Font Software outside the scope of the purchased licence constitutes a material breach of this EULA.

5. Extended Licences

Extended licences, sold through third-party distributors, may grant additional rights beyond those provided by a standard licence.

The precise rights, restrictions, fees and any territorial or temporal limits are defined exclusively by the extended licence purchased.

6. Third-Party Purchases, Resellers and Refunds

Fonts and licences are sold and administered through third-party stores and authorised distributors.

Refunds, returns or chargebacks are handled exclusively by the store of purchase, in accordance with their applicable policies.

AcidType™ does not process refunds directly.

7. Modifications and Derivative Works

You may perform reasonable internal modifications to the Font Software solely to enable permitted uses.

You may not distribute, publish or otherwise make available modified versions of the Font Software unless your licence explicitly permits redistribution.

All copyright and trademark notices must be preserved at all times.

8. Embedding, Webfonts and Application Integration

Embedding of the Font Software is permitted only to the extent allowed by the licence purchased from the authorised distributor.

Editable or extractable embedding is prohibited unless expressly licensed.

If your intended use exceeds the permissions granted by your licence, you must obtain an appropriate extended licence.

9. Audit, Compliance and Recordkeeping

AcidType™ and/or its authorised distributors reserve the right to audit licence compliance upon reasonable notice.

You agree to maintain accurate records relating to use of the Font Software and to cooperate fully with any audit request.

10. Intellectual Property

All right, title and interest in and to the Font Software remain the exclusive property of AcidType™.

The name “AcidType™” and associated marks are trademarks of AcidType™.

No ownership rights are transferred under this EULA.

11. Support, Updates and Maintenance

Support, updates and maintenance, if any, are provided at the discretion of AcidType™ and/or the relevant third-party distributor.

Any updates provided are subject to the terms of this EULA unless stated otherwise.

12. Warranty and Disclaimers

The Font Software is provided “as is”, without warranties of any kind, whether express or implied.

This includes, without limitation, warranties of merchantability, fitness for a particular purpose or non-infringement, to the fullest extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, AcidType™ shall not be liable for any indirect, incidental or consequential damages arising from use of the Font Software.

14. Termination

This EULA terminates automatically upon breach of its terms or the applicable third-party licence.

Upon termination, you must immediately cease all use of the Font Software and destroy all copies in your possession or control.

15. Governing Law and Jurisdiction

This EULA is governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with this EULA.
